These Terms of Service govern your use of the Grafter Lab platform, mobile application, and related services provided by Grafter Lab Ltd ("Grafter Lab", "we", "us", "our"). By creating an account or using our services, you agree to these terms. Please read them carefully.

Grafter Lab is a business operations platform designed for UK trade contractors. We provide tools for job management, invoicing, quoting, cashflow forecasting, time tracking, and related business operations.
2. Eligibility and Account Registration
To use Grafter Lab you must:
- Be at least 18 years of age
- Be a business owner, director, or authorised representative of a UK-registered business
- Provide accurate and complete information when creating your account
- Maintain the security of your account credentials
You are responsible for all activity that occurs under your account. If you suspect unauthorised access, notify us immediately at info@grafterlab.com.
We reserve the right to refuse registration or suspend accounts at our discretion, particularly where we have reason to believe the terms are being violated.
3. Subscription Plans and Billing
Grafter Lab is offered on a subscription basis. The following plans are currently available:

All prices are in GBP and are exclusive of VAT. Grafter Lab Ltd is not currently VAT registered. Prices may change with 30 days' notice.
Free trial: New accounts receive a 14-day free trial. No payment details are required to start a trial. At the end of the trial period, a subscription is required to continue using the platform.
Billing: Subscriptions are billed monthly in advance. Payment is processed securely via Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis.
Failed payments: If a payment fails, we will retry for up to 7 days. During this period you will retain access to the platform. If payment is not received within 7 days, your account may be suspended until payment is made.
Refunds: We do not offer refunds for partially used billing periods. If you cancel your subscription, you will retain access until the end of your current billing period.
4. Cancellation
You may cancel your subscription at any time via Settings → Plan & Billing → Manage Billing within the Grafter Lab platform, or by emailing info@grafterlab.com.
Cancellation takes effect at the end of your current billing period. You will not be charged again after cancellation, and your access will continue until the period you have paid for ends.
We reserve the right to terminate or suspend your account immediately if you breach these Terms of Service, without refund.
5. Acceptable Use
You agree to use Grafter Lab only for lawful business purposes. You must not:
- Use the platform to engage in any illegal activity or to facilitate fraud
- Attempt to gain unauthorised access to any part of the platform or other users' accounts
- Upload or transmit malicious code, viruses, or harmful content
- Scrape, crawl, or systematically extract data from the platform without our written consent
- Resell, sublicense, or otherwise commercialise the platform without our written permission
- Use the platform in any way that could damage, disable, or impair our servers or infrastructure
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the platform to send unsolicited communications (spam)
We reserve the right to investigate and take appropriate action against any user who violates these acceptable use provisions, including suspending or terminating their account.
6. Your Data and Content
You retain ownership of all data and content you upload or create within Grafter Lab, including customer records, invoices, quotes, job data, and financial information ("Your Content").
By using Grafter Lab, you grant us a limited licence to store, process, and display Your Content solely for the purpose of providing the service to you. We do not sell Your Content or use it for any purpose other than operating and improving the platform.
You are responsible for ensuring that Your Content does not infringe any third-party rights and that you have the right to upload and use it within the platform.
We recommend regularly exporting your data. You can export invoices, customer records, and financial reports from within the platform at any time.
7. Intellectual Property
Grafter Lab and all associated software, designs, trademarks, logos, and content (excluding Your Content) are the intellectual property of Grafter Lab Ltd. Nothing in these terms grants you any rights to our intellectual property.
You may not copy, modify, distribute, sell, or lease any part of our platform or its underlying software, nor may you reverse engineer or attempt to extract source code, unless you have our explicit written permission.
8. Third-Party Integrations
Grafter Lab integrates with third-party services including Xero (accounting), Stripe (payments), Postmark (email), and others. Your use of these integrations is subject to the respective third parties' terms of service and privacy policies.
We are not responsible for the availability, accuracy, or conduct of third-party services. If a third-party integration becomes unavailable, we will endeavour to notify you and provide alternative solutions where possible.
By connecting a third-party integration, you authorise us to access and use data from that service on your behalf, as described in our Privacy Policy.
9. Data Protection
We take the protection of your personal data seriously. Our collection, use, and storage of personal data is governed by our Privacy Policy, which forms part of these Terms of Service.
We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. As a data processor, we implement appropriate technical and organisational measures to protect personal data processed through the platform.
If you use Grafter Lab to process personal data belonging to your customers, employees, or other individuals, you are the data controller for that data and are responsible for ensuring your use complies with applicable data protection laws.
10. Availability and Service Levels
We aim to provide a reliable and available service, but we do not guarantee uninterrupted access to Grafter Lab. Planned maintenance will be communicated in advance where possible. We are not liable for any loss arising from temporary unavailability of the platform.
We reserve the right to modify, suspend, or discontinue any part of the service at any time. In the event of a material change to the service, we will provide reasonable notice to active subscribers.
11. Limitation of Liability
To the maximum extent permitted by law, Grafter Lab Ltd shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Any loss arising from your reliance on financial information, forecasts, or reports generated by the platform
- Any loss arising from third-party integrations or services
- Any loss arising from unauthorised access to your account where you have failed to maintain the security of your credentials
Our total liability to you in respect of any claim arising under or in connection with these terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify and hold harmless Grafter Lab Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the platform in violation of these terms
- Your Content or any data you upload to the platform
- Your violation of any third-party rights
- Your violation of any applicable law or regulation
13. Changes to These Terms
We may update these Terms of Service from time to time. When we make material changes, we will notify you by email or via a prominent notice within the platform at least 30 days before the changes take effect.
Your continued use of Grafter Lab after the effective date of any changes constitutes your acceptance of the updated terms. If you do not agree to the updated terms, you must cancel your subscription before the changes take effect.
The "Last updated" date at the top of this page indicates when the terms were last revised.
14. Governing Law and Disputes
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any formal legal proceedings, we encourage you to contact us at info@grafterlab.com to attempt to resolve any dispute informally. We will endeavour to respond within 5 working days.
